Terms of Service
Effective date: 1 June 2026
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of FarmDash, a farm management platform operated by Openswift Solutions (Pty) Ltd ("FarmDash", "we", "us", or "our"), a company incorporated under the laws of South Africa.
By creating an account or using FarmDash, you agree to these Terms. If you do not agree, you may not use the platform. These Terms constitute a legally binding agreement between you and FarmDash.
2. Description of Service
FarmDash is a cloud-based farm management platform that provides:
- Livestock, piggery, and poultry management
- Crop planning and harvest tracking
- Employee and payroll management (PAYE, UIF, SDL calculations)
- Accounting, invoicing, and financial reporting
- Inventory and supplier management
- Health records and vaccination scheduling
- Task management and farm calendar
Features available depend on your subscription plan. We reserve the right to modify or discontinue features with reasonable notice.
3. Accounts & Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You must be at least 18 years old to create an account.
- Each farm may only have one owner account. Additional users may be added as team members subject to your plan limits.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorised access to your account.
4. Subscription Plans & Billing
4.1 Plans
FarmDash offers Free, Professional, and Enterprise subscription plans. Plan details, features, and limits are available on our pricing page and may be updated from time to time with notice.
4.2 Free Trial
New accounts receive a 90-day free trial of the Professional plan. No payment is required during the trial period. At the end of the trial, your account will be downgraded to the Free plan unless you subscribe to a paid plan.
4.3 Payment
Subscriptions are billed monthly in South African Rand (ZAR). Payment methods accepted:
- Credit/Debit Card: Processed securely via Stripe
- EFT (Electronic Funds Transfer): Manual bank transfer using your invoice number as reference
- Debit Order: Monthly debit from your nominated bank account
4.4 Prorated Billing
When upgrading or switching plans mid-billing cycle, a prorated amount is charged based on the number of days remaining in the current period. Credit from your current plan is applied against the new plan charge.
4.5 Late Payment
Accounts with overdue payments will be restricted after 14 days. Data is retained for 30 days after subscription lapse, after which it may be permanently deleted.
5. Acceptable Use
You agree not to:
- Use FarmDash for any unlawful purpose or in violation of applicable laws
- Attempt to gain unauthorised access to any part of the platform
- Interfere with or disrupt the platform's servers or networks
- Upload malicious code, viruses, or harmful content
- Resell, sublicense, or provide access to FarmDash to third parties without our consent
- Use automated tools to scrape or extract data from the platform
- Enter false, misleading, or fraudulent information
6. Your Data & Content
You retain ownership of all data and content you enter into FarmDash ("Your Content"). By using the platform, you grant FarmDash a limited licence to store, process, and display Your Content solely to provide the service.
You are responsible for the accuracy of data you enter. FarmDash is a tool to assist your farm management — payroll calculations, tax computations, and other outputs should be verified by a qualified professional where required by law (e.g., by a registered tax practitioner for SARS submissions).
You may export your data at any time from within the platform. Upon account deletion, your data will be removed as described in our Privacy Policy.
7. Intellectual Property
FarmDash and its original content, features, and functionality are owned by Openswift Solutions (Pty) Ltd and are protected by South African and international intellectual property laws. You may not copy, modify, distribute, or create derivative works of our platform without our express written consent.
8. Disclaimer of Warranties
FarmDash is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:
- The platform will be uninterrupted, error-free, or secure
- Payroll, tax, or financial calculations are accurate for your specific circumstances
- The platform will meet all your specific requirements
Use of payroll and tax features does not constitute tax or legal advice. Consult a qualified accountant or tax practitioner for compliance with SARS requirements.
9. Limitation of Liability
To the fullest extent permitted by South African law, Openswift Solutions (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business arising from your use of or inability to use the platform.
Our total liability to you for any claim arising from these Terms or use of the platform shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
10. Suspension & Termination
We reserve the right to suspend or terminate your account if you:
- Breach these Terms
- Fail to pay subscription fees
- Use the platform for fraudulent or illegal purposes
You may cancel your subscription at any time from your billing settings. Cancellations take effect at the end of the current billing period.
11. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms or your use of FarmDash shall be subject to the exclusive jurisdiction of the South African courts.
Before initiating legal proceedings, we encourage you to contact us to resolve disputes informally at legal@openswift.co.za.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be notified by email at least 30 days before taking effect. Continued use of FarmDash after changes take effect constitutes acceptance of the updated Terms.
